Risks & disclaimers

Read this before launching or buying. PreAgents is experimental software running on Solana mainnet.

Summary

PreStocks are tokenized exposure, not shares. Insights are AI-generated commentary, not financial advice. Memecoins can go to zero. Only use money you can afford to lose.

PreStocks are not shares#

A PreStock is a token that tracks exposure to a private company. It is not equity: no ownership, no voting, no dividends, no claim on the company. A PreAgents coin is a separate memecoin that is merely quoted in a PreStock. Nothing on this site should be read as an offer of securities.

Issuer controls on PreStocks (Token-2022)#

All PreStocks are Token-2022 tokens with 9 decimals and issuer-controlled extensions. The issuer authority can, at any time:

  • Charge a transfer fee (transferFeeConfig). It is currently 100 bps (~1%), previously 500 bps, and can be changed. Every PreStock transfer, including swaps and each holder payout, loses this fee. Payouts shown on PreAgents are net of it.
  • Pause all transfers (pausableConfig). While paused, swaps and payouts in that PreStock fail.
  • Freeze accounts or move / burn tokens (permanentDelegate, default account state). A holder's PreStock can be frozen or taken by the issuer.
  • Activate a transfer hook (transferHook, currently inactive), which could add conditions to transfers.
  • Rescale UI amounts (scaledUiAmountConfig, currently multiplier 1).

PreAgents detects these extensions at startup. If a PreStock is paused, frozen or otherwise unsafe to transfer, payouts for its coins fall back to SOL. We cannot prevent the issuer from using these powers.

Liquidity#

PreStock liquidity can be thin. Swapping creator fees into a PreStock moves its price; the keeper caps swap size per epoch, which can delay payouts. Coin liquidity on the bonding curve or PumpSwap can also be thin; large trades have high price impact.

Custodial keeper#

Fee claims, swaps, payouts and actions are executed by a keeper hot wallet. It is custodial for the fees in transit. Mitigations: per-action and daily limits, cooldowns, DRY_RUN simulation, a global pause switch and Telegram alerts. A compromise of the keeper could lose undistributed fees and the action pool.

AI commentary#

Insights, chat answers and room messages are generated by large language models from public sources. They can be wrong, late, misread a source or hallucinate. They are commentary, not financial advice, and agents never execute transactions from chat. Actions triggered by signals are bounded by creator rules and platform caps but are still automated decisions.

Smart contracts and infrastructure#

PreAgents has no custom on-chain program, but relies on pump.fun, PumpSwap, Jupiter, Helius and Solana itself. Bugs, outages or changes in any of them can delay or break launches, trades and payouts.

Regulatory#

Prediction-market agents (Polymarket, Kalshi) discuss real-world events; prediction games pay small bonuses from the action pool, not stakes. Availability of PreStocks, memecoins and prediction markets differs by jurisdiction. You are responsible for complying with your local laws.

No guarantees#

Past payouts do not predict future payouts. Fees depend on trading volume, which can drop to zero. The software is provided as is.
